Thus, if we obtain actual knowledge that a user is under 13, we will take steps to remove that user's Personal Information permanently from our databases. By using Wa.ag, you are representing that you are at least 18 years old.

Collection of Information
In general, we collect Personal Information that you submit to us voluntarily through Wa.ag. We also collect information that you submit in the process of creating or editing your account and user profile on Wa.ag. For example, our registration and login process requires you to provide us with your name, valid email address and password of your choice. When you personalize your profile and use the features of Wa.ag, we will collect any information you voluntarily provide, and we may also request optional information to support your use of Wa.ag, such as your year of birth, gender and other demographic information. We collect information in the form of the content that you submit during your use of Wa.ag, such as photos, reviews, ratings and other information you choose to submit. We may also collect information about you and your friends who use Wa.ag, from any social network you may have connected from, in order to provide you with a more personalized experience. For instance, we may collect your user ID or profile information that you have permitted to be displayed through Wa.ag in order to display you as a friend or in association with your profile and collections. When you purchase a Deal, you will need to submit your credit card or other payment information so that our service providers can process your payment for the Deal. When you sign up for, or win, any contests, sweepstakes, or other activities that we make available on Wa.ag, we will collect the information designated along with such activity, which may include your contact information such as your address and phone number. If you choose to sign up to receive information about products or services that may be of interest to you, we will collect your email address and other related information. Additionally, we collect any information that you voluntarily enter, including Personal Information, into any postings, comments, or forums within the Wa.ag community.

Personal Information from Other Sources
We may receive Personal Information about you from other sources with which you have registered, companies who we have partnered with (collectively, "Partners") or other third parties. We may associate this information with the other Personal Information we have collected about you.

E-mail and E-mail Addresses
If you send an e-mail to us, or fill out our "Feedback" form through Wa.ag, we will collect your e-mail address and the full content of your e-mail, including attached files, and other information you provide. We may use and display your full name and email address when you send an email notification to a friend through Wa.ag or the social network from which you have connected to Wa.ag (such as in an invitation, or when sharing your content). Additionally, we use your email address to contact you on behalf of your friends (such as when someone sends you a personal message) or notifications from a social network or other website with whom you have registered to receive such notifications. We may use this e-mail address to contact you, for things such as notifications of limited edition shop sales and other related information. You may indicate your preference to stop receiving further promotional communications as further detailed below.

Information Collected
As you use Wa.ag, certain information may also be passively collected and stored on our or our service providers' server logs, including your Internet protocol address, browser type, and operating system. We also use Cookies and navigational data like Uniform Resource Locators (URL) to gather information regarding the date and time of your visit and the solutions and information for which you searched and viewed, or on which of the advertisements displayed on Wa.ag you clicked. This type of information is collected to make Wa.ag and solutions more useful to you and to tailor the experience with Wa.ag to meet your special interests and needs. This Privacy Policy does not limit our use or disclosure of any Anonymous Information in any way, and we reserve the right to use and disclose Anonymous Information to our partners, advertisers and other third parties in our discretion. Short for "work as a group," Wa.ag is a platform for facilitating "flash networking" events in local bars/clubs/restaurants during off-peak hours. TheWa.ag website connects professionals and businesses in a way that can benefit everyone. Users of the free site receive a daily email in their inbox with information about the networking event of the day, including the location and time along with every else who is attending. Most events are hosted by local bars, restaurants and clubs. If the user chooses to attend it, they simply RSVP and show up at the event. Once there, they check in with their phone or computer and submit a short post about what they're currently working on. Just checking in earns rewards such as free drinks or gift cards, and users can browse the posts of the others in attendance as well, along with their profiles on LinkedIn and other third party sites. Then, armed with a little advance knowledge, users can seek out the startups, entrepreneurs, investors and businesspeople they'd particularly like to meet; with any luck, the resulting conversations can bolster their local networks and maybe even lead to profitable business deals. Users access Wa.ag services (the "Services") through our website located at http://wa.ag and other online areas owned or operated by us, such as our Facebook and mobile phone applications (the "Site"). The Services also include the opportunity for you to purchase special Deals (as described below) for the products and services of third party merchants. Acceptance of Terms
"Work as a Group LLC"or "Wa.ag" or "us" or "our" operates this website, http://www.wa.ag, the mobile and touch versions, and any individual sites or merchant-specific, city-specific, or other area-specific sites we have now or in the future. The website and links contained within or otherwise available through external hyperlinks within our Site (the "Microsites") will be collectively referred to as the "Site" in these Terms & Conditions. By using our Site and Wa.ag's services through the Site, you ("you" or, "End User") agree to these Terms & Conditions, our Privacy Policy, and any additional terms applicable to certain programs in which you may elect to participate or with respect to any Microsite, as any of the same may exist from time to time (collectively, the "Terms & Conditions" or "Terms of Use" or "Agreement").

Conditional Use of Wa.ag Site and Services
The Site provides an interactive online service operated by Wa.ag, consisting primarily of promotion and marketing services on behalf of certain merchants ("Merchants") making vouchers for Merchant goods and services ("SWA.AGs") available to its users. SWA.AGs are made available to the Wa.ag account holders and exchanged for goods and services from the issuing Merchants or other parties identified in the terms of the offer and subject to the bullet points set forth below. Your permission to use Wa.ag and its Services is conditioned upon your agreement that you:

• • Are 18 years of age or older;

• • will comply at all times with these Terms and Conditions;

• • You possess the authority to create a binding legal obligation;

• • If you elect to create an account, you (1) may create only one account for your personal use; (2) may only make legitimate purchases that comply with the letter and spirit of the terms of the respective offers; (3) may only make purchases on the Site for your own use and enjoyment, or, when offered, as a gift for another; and (4) must safeguard your password and supervise the use of your account, and understand and agree that you are responsible for your own use and the use of your account;

• • will not copy or distribute any part of Wa.ag in any medium without Wa.ag's prior written authorization;

• • will provide accurate information when creating an account or registering for our Services;

• • are solely responsible for your User ID and the activity that occurs while signed in to or while using Wa.ag using your User ID;

• • will not use Wa.ag to collect any personally identifiable information, including account names, email addresses, or other such information, for commercial purposes;

• • will not use the communication systems provided by or contacts made on Wa.ag for any commercial solicitation purposes;

• • are solely responsible for your Content submissions, including discussion posts, profile information and links, pictures, and other such content;

• • represent that you own or have the necessary licenses, rights, permissions, and consents to use and authorize Wa.ag to use any and all Content submitted by you to Wa.ag in accordance with the licenses granted in this Agreement;

• • hereby grant each Wa.ag user, whether using Wa.ag or an application authorized by Wa.ag but developed via a third-party developer, a non-exclusive license to access the Content you submit through Wa.ag and to use, reproduce, distribute, prepare derivative works of, display and perform such Content as permitted through Wa.ag's functionality and under these Terms & Conditions;

• • will not submit Content that is copyrighted or subject to third party proprietary rights, including privacy, publicity, trade secret, etc., unless you are the owner of such rights or have the appropriate permission from their rightful owner to specifically submit such Content to Wa.ag; and

• • affirmthat we have the right to determine whether any of your Content submissions are appropriate and comply with these Terms and Conditions, remove any and/or all of your submissions, and terminate your account with or without prior notice.
  
  

Uptime and Availability
You acknowledge that there may be interruptions in service or events that are beyond our control. While we use reasonable efforts to keep the Site accessible, the Site may be unavailable from time to time for any reason including, without limitation, routine maintenance. You understand and acknowledge that due to circumstances both within and outside of our control Site access may be interrupted, suspended or terminated. Wa.ag retains the right at our sole discretion to deny service, or access to the Site to anyone or an account, at any time and for any reason.

Site Ownership
The content and information on this Site as well as the infrastructure used to provide both, is proprietary to us or our Merchants and other partners. You agree not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products or services obtained from or through the Site.

Transmission of Information
Because we do not control the security of the Internet or other networks you use to access the Site or communicate with us, we can't be, and are not responsible for, the security of information that you choose to communicate with Wa.ag and the Site while it is being transmitted. In addition, Wa.ag is not responsible for any data lost during transmission.

Non-permitted uses
Our Site is private property. All interactions on this Site must be lawful and must comply with these Terms & Conditions. To the extent your conduct (as judged by us in our sole discretion), restricts or inhibits any other user from using or enjoying any part of this Site, we may limit your privileges on the Site and seek other remedies. You may not engage in any of the following activities as they are prohibited on the Site and constitute express violations of this Agreement:

• • Submitting any purposely inaccurate information, committing fraud or falsifying information in connection with your Wa.ag account or in order to create multiple Wa.ag accounts;

• • Attempting to, or actually accessing data not intended for you, such as logging into a server or an account which you are not authorized to access;

• • Attempting to scan, or test the security or configuration of the Site or to breach security or authentication measures without proper authorization;

• • Tampering or interfering with the proper functioning of any part, page or area of the Site and any and all functions and services provided by Wa.ag;

• • Attempting to interfere with service to any user in any manner, including, without limitation, by means of submitting a virus to our Site, or attempts at overloading, "flooding", "spamming", "mail bombing" or "crashing" the Site;

• • Using the Site or any of its contents to advertise or solicit, for any other commercial, political or religious purpose, or to compete, directly or indirectly with Wa.ag;

• • Reselling or repurposing your access to the Site or any purchases made through the Site;

• • Using the Site or any of its resources to solicit Site End Users, Merchants or other business partners of Wa.ag to become users or partners of other online or offline services directly or indirectly competitive or potentially competitive with Wa.ag, including without limitation, aggregating current or previously offered deals;

• • Using any End User or Merchant information from the Site for any commercial purpose, including, but not limited to, marketing;

• • Exceeding or attempting to exceed quantity limits forSWA.AGs (see below) or otherwise using any Wa.ag account to purchase SWA.AGs for resale, or for speculative, false, fraudulent or any other purpose not expressly permitted by this Agreement and the terms of a specific offer on the Site;

• • Accessing, monitoring or copying any content or information from this Site using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;

• • Violating the restrictions in any robot exclusion headers on this Site or bypassing or circumventing other measures employed to prevent or limit access to this Site;

• • Taking any action that places excessive demand on our services, or imposes, or may impose an unreasonable or disproportionately large load on our servers or other portion of our infrastructure (as determined in our sole discretion);

• • Aggregating any live or post-feature content or other information from the Site (whether using links or other technical means or physical records associated with purchases made through this Site) with material from other sites or on a secondary site without our express written permission.

• • Deep-linking to any portion of this Site (including, without limitation, the path for any SWA.AG) without our express written permission;

• • Acting illegally or maliciously against the business interests or reputation of Wa.ag, our Merchants or our services; or

• • Hyperlinking to the Site from any other website without our initial and ongoing consent.
  
  

Your Account
If you create an account on our Site, you may only create and hold one account that you are solely responsible for managing. Your account is non-transferrable and may not be sold, combined or otherwise shared with any other person. If you violate any of these limitations we may terminate your account and, without limitation, you may forfeit any pending, current or future promotional account credits and any unredeemed SWA.AGs (see below) in your account. If we terminate your account, you may not re-enroll or join under a new account unless we formally invite you. If you commit fraud or falsify information in connection with your use of the Site or in connection with your Wa.ag account, your account will be terminated immediately and we reserve the right to hold you liable for any and all damages that we suffer, to pursue legal action through relevant local and national law enforcement authorities and to notify your Internet Service Provider of any fraudulent activity we associate with you or your use of the Site.

Use of Merchant Vouchers ("SWA.AGs")
SWA.AGs are special promotional offers that are made available to you from participating Merchants through our serviceand are available to you as a Wa.ag account holder. The SWA.AGs are redeemable for certain goods, services or experiences offered by, or facilitated through, the Merchant identified on the SWA.AG. The Merchant is solely responsible for redeeming the SWA.AG. By accepting a SWA.AG, you make an offer to use the SWA.AG you have selected pursuant to the terms of this Agreement, the terms on the SWA.AG itself and any additional, deal specific terms advertising the SWA.AG at the time of purchase (the "Fine Print"). In the event of a conflict between the terms of this Agreement and the Fine Print, the Fine Print will govern. There are two separate parts to each SWA.AG: (a) the face value and (b) the promotional value. Together the purchase value and the promotional value add up to the full offer value of the SWA.AGwhich appears on the WA.AG voucher. The face value is the nominal amount dollar amount assigned to a specificSWA.AG by us, usually $0.01 U.S.D. The promotional value is the "added" value of the SWA.AG – the amount in excess the face value. The promotional value will expire by the date stated on the face of the SWA.AG unless applicable law prohibits the promotional value from expiring. For example, if you receive aSWA.AG that gets you $50 of goods or services from a Merchant, the full offer value is $50.01, the face value is $0.01 and the promotional value is $50 and it expires on the date stated on the SWA.AG (unless expiration of the promotional value is prohibited by law). Use or acceptance of a SWA.AG constitutes acceptance of these Terms & Conditions and of any Fine Print stated on the SWA.AG. The following terms apply to all SWA.AGs, unless stated otherwise in a SWA.AG's Fine Print or otherwise required by applicable law:

• • Unauthorized use, reproduction, resale, modification, or trade of SWA.AGs is prohibited.

• • Taxes and gratuities are not included in the value of the SWA.AG and, if applicable, may be charged to you separately by the Merchant when you redeem the SWA.AG.

• • The promotional value of SWA.AGs may not be combined with any other voucher, coupon, or promotion.

• • Your SWA.AGs may only be used at the Merchant named on the face of the SWA.AG.

• • The promotional value is redeemable only toward the goods or services listed on the SWA.AG.

• • Use of a SWA.AG for certain services and goods - such as alcoholic beverages - is subject to applicable state and local laws.

• • SWA.AGs are not reloadable.

• • SWA.AGs are not redeemable for cash unless required by law.

• • SWA.AGs are transferrable.

Payment(s), Attending Networking Events or Meetups
Wa.ag shall not issue any refund or credit for those groups or individuals who have paid Wa.ag a fee to attend an Event but, for whatever reasondid not/could not attend. If however, the Event wascancelled or postponed by the Merchant, we would offer a refund or credit.

Merchant Responsibility
The Merchant is the issuer of the SWA.AG and is fully responsible for all goods and services it provides to you and for any and all injuries, illnesses, damages, claims, liabilities and costs ("Liabilities") it may cause you to suffer, directly or indirectly, in full or in part, whether related to the use or redemption of a WA.AG or not. You waive and release Wa.ag and its subsidiaries, affiliates, partners, officers, directors, employees and agents from any Liabilities arising from or related to any act or omission of a Merchant in connection with your use of a SWA.AG or SWA.AGs and/or the services/goods provided in connection therewith. To be clear, as issuer of the Voucher, the Merchant shall be fully responsible for any and all injuries, illnesses, damages, claims, liabilities and costs suffered by or in respect of a customer, caused in whole or in part by the Merchant or its products and services, as well as for any unclaimed property liability arising from unredeemed or partially redeemed Vouchers. By using a SWA.AG, a customer acquires the right to use the Voucher according to its terms and the terms of this Agreement and any fine print printed on the SWA.AG. Whether you choose to redeem the Voucher is within your sole control and at your sole discretion.

Reservation of Rights and Release
Wa.ag reserves the right, but has no obligation, to monitor, or take any action Wa.ag deems appropriate regarding disputes that you may have with other customers of ours or any Merchants. To the extent the law permits, you release us from any claims or liability related to any Content posted on the Site and from any claims related to the conduct of any other customers of ours or any Merchants. You hereby waive California Civil Code Section 1542 (if you are a California resident), and any similar provision in any other jurisdiction (if you are a resident of such jurisdiction), which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."

Terms & Conditions Modification(s)
Wa.ag reserves the right at all times to discontinue or modify any part of this Agreement as we deem necessary or desirable. If we make changes that materially affect your use of the Site or our services we will notify you by sending you an e-mail to the e-mail address that is registered with your account and/or by posting notice of the change on the Site. Your use of the Site after we update these Terms & Conditions will constitute acceptance of the modified Terms & Conditions. We also reserve the right to change or discontinue any aspect or feature of our services or the Site including, but not limited to requirements for access or use.

Intellectual Property
You acknowledge and agree that we and our licensors retain ownership of all intellectual property rights of any kind related to the Site and Services, including applicable copyrights, trademarks and other proprietary rights. We are not granting any license to you under any of those intellectual property rights by virtue of this Agreement, except for the limited right to use the Site and Services in accordance with this Agreement. "Wa.ag" is our trademark. Other product and company names that are mentioned on the Site or provided as part of the Services may be trademarks of their respective owners. We reserve all rights that are not expressly granted to you in this Agreement. The Content on Wa.ag, excluding all intellectual property of other sites obtained by way of API and linking and Content posted by our customers, is owned by Wa.ag. This includes, without limitation, the text, software, scripts, graphics, photos, sounds, interactive features and the trademarks, service marks and logos contained therein ("Marks"). The Marks are owned or licensed to Wa.ag, subject to copyright and other intellectual property rights under United States law, the law of the jurisdiction where you reside, and international conventions. Content provided by Wa.ag is provided to you "AS IS" for your information and personal use only and may not be used, copied, reproduced, modified, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. We reserve all rights not expressly granted in and to the Site and Services. As between you and us, you retain any intellectual property rights in any copyrighted materials and trademarks that are contained in Content that you post to the Site. Arbitration
We will make every reasonable effort to resolve any disagreements that you have with Wa.ag. If those efforts fail, by using this Site you agree that any claim, dispute, or controversy you may have against Wa.ag arising out of, relating to, or connected in any way with this Agreement this Site or the use any SWA.AG(s), shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") and conducted before a single arbitrator pursuant to the applicable Rules and Procedures established by AAA ("Rules and Procedures"). You agree further that: (a) the arbitration shall be held at a location determined by AAA pursuant to the Rules and Procedures (provided that such location is reasonably convenient for you), or at such other location as may be mutually agreed upon by you and Wa.ag; (b) the arbitrator shall apply Illinois law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (c) there shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only your and/or Wa.ag's individual claims; and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (d) in the event that you are able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Wa.ag will pay as much of your filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (e) with the exception of subpart (c) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (c) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither you nor Wa.ag shall be entitled to arbitrate their dispute.

Electronic Communications
The communications between you and Wa.ag use electronic means, whether you visit the Site or send us emails, or whether Wa.ag posts notices on the Site or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Wa.ag in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Wa.ag provides to you electronically satisfy any legal requirement that such communications would satisfy if it were in writing. The foregoing does not affect your non-waivable rights. Wa.ag in some instances allows you and other End Users to use the Site to express opinions and communicate through forums, bulletin boards, discussion groups, chat rooms or other communication facilities that may be offered on or through the Site from time to time (collectively "Communities"). Wa.ag shall have the right, but not the obligation, to monitor the content within the Communities at any time, for any reason, including to determine compliance with this Agreement and any operating rules established by Wa.ag, as well as to satisfy any applicable law, regulation or authorized government request. Without limiting the foregoing, Wa.ag shall have the right, but not the obligation, to remove any material from the Communities that Wa.ag, in its sole discretion, finds to be in violation of this Agreement or otherwise objectionable. Any opinions, advice, ratings, discussions, comments, and/or other messages or postings of any kind made by you or any other End User to the Communities (collectively, "Statements"), are those of the respective author(s) or distributor(s) and not of Wa.ag.

Third Party Websites
The Site contains links to websites maintained by other parties. These links are provided solely as a convenience to you and not because we endorse or have an opinion about the contents on such websites. We expressly disclaim any representations regarding the content or accuracy of materials on such websites or the privacy practices of those websites. If you decide to access websites maintained by other parties, you do so at your own risk.

Personal Information
You understand and agree that all Statements are public and not private. Any other person (whether or not a user of Wa.ag's services) may read your Statements without your knowledge. Please do not include any Personal Information (as defined in our Privacy Statement) in your Statements. Wa.ag does not control or endorse any Statement found in any part of the Communities, and we specifically disclaim any liability concerning the Statements and the Communities and any actions resulting from your participation in any part of the Communities, including any objectionable content. Any and all Statements you post to our Site are not confidential.

Grant of License
By posting Statements or other information on or through the Communities, you grant Wa.ag a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display the Statements alone or as part of other works in any form, media, or technology whether now known or hereafter developed without territorial or time limitations, and to sublicense such rights through multiple tiers of sub-licensees. Your license of any Statements or information submitted above extends to use for promotions, advertising, market research or any other lawful purpose, without limitation.

Indemnity& Release
You agree to defend, indemnify and hold harmless Wa.ag, its subsidiaries, affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of or related to any products or services purchased by you in connection with the Site or any use of the Site in violation of these Terms. You are solely responsible for your interactions with Merchants and other users of the Site. To the extent permitted under applicable laws, you hereby release Wa.ag from any and all claims or liability related to any product or service of a Merchant, any action or inaction by Merchant, including Merchant's failure to comply with applicable law and/or failure to abide by the terms of a Wa.ag, and any conduct or speech, whether online or offline, of any other user. You agree to defend, indemnify and hold harmless Wa.ag, its parent company, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to reasonable attorney's fees) arising from: (i) your use of and access to Wa.ag; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that any Content submitted by you causes damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of Wa.ag.

Termination
We may change or discontinue the Site or any of the Services at any time without prior notice. We reserve the right to terminate this Agreement at our election and for any reason, without prior notice, and this Agreement will automatically terminate in the event that you violate any of the terms and conditions set forth below. In the event of any termination, you will immediately cease access to the Site and Services. Without limiting the foregoing, Wa.ag shall have the right to immediately terminate or suspend any of your passwords or accounts in the event Wa.ag considers, in its sole discretion, any of your conduct to be unacceptable, or in the event you breach this Agreement. Notwithstanding the above, these Terms & Conditions will survive termination of this Agreement.

Choice of Law
Any disputes arising out of or related to these Terms & Conditions and/or any Use by you of Wa.ag's Site or services shall be governed by the internal laws of the State of New York, without regard to its choice of law rules and without regard to conflicts of laws principles except that the Arbitration provision at Paragraph 13 shall be governed by the Federal Arbitration Act.

Additional Disclosures
No waiver by either you or Wa.ag of any breach or default or failure to exercise any right allowed under this Agreement is a waiver of any preceding or subsequent breach or default or a waiver or forfeiture of any similar or future rights under our Agreement. The section headings used herein are for convenience only and shall be of no legal force or effect. If any provision of our Agreement is held invalid by a court of competent jurisdiction, such invalidity shall not affect the enforceability of any other provisions contained in this Agreement, and the remaining portions of our Agreement shall continue in full force and effect.
